What is FORM-A?

FORM-A is an official return filed annually with SECP pursuant to Section 130 of the Companies Act, 2017 and Regulations 30 & 62 of the Companies Regulations, 2024. It acts as a snapshot of the company’s legal, corporate, and equity status as of a specific date (usually the date of the Annual General Meeting).

Who Must File FORM-A?

Under the Companies Regulations, 2024, the following entities do not need to file Form-A if no changes have occurred since their last filing:

  1. Single Member Companies (SMCs)
  2. Private Limited Companies with a paid-up capital of PKR 3 Million or below

(Note: If no changes occurred, these exempted private companies file Form-24 instead. However, if any shareholding, directorship, or registered address changes occurred, Form-A remains mandatory).

Form-A is divided into distinct parts depending on the operational status of the company:

PART I – Basic Company Identification

  • Corporate Unique Identification Number (CUIN)
  • Registered Company Name
  • Paid Fee Challan / Online Payment Reference
  • Classification (Active vs. Inactive return)

PART II – For Active Operating Companies

  • AGM Details: Date of the Annual General Meeting or period up to which the return is made.
  • Registered Address & Contact: Official physical location, corporate email, and WhatsApp-enabled mobile number of the authorized officer.
  • Capital Structure: Authorized vs. Paid-Up Capital (class of shares, face value, total amount).
  • Officers & Management: Complete records of Chief Executive Officer (CEO), Directors, Chief Financial Officer (CFO), Company Secretary, Legal Advisor, Statutory Auditors, and Share Registrar.
  • Shareholders & Debenture Holders: Names, CNICs/Passports, shareholding counts, and identification of substantial shareholders holding $\ge$ 25% voting rights.
  • Share Transfers: Detailed logs of share transfers executed since the last annual return (Transferor, Transferee, date of transfer registration, and share volume).

PART III – For Inactive Companies

  • Correspondence address and list of current directors/members.
  • Written confirmation declaring inactive status (no active business operations or significant accounting transactions).

How to Submit FORM-A Online (SECP eZfile / eServices)

  1. Access Portal: Log in to SECP’s eZfile / eServices portal.
  2. Select Process: Choose Form-A – Annual Return Filing.
  3. Update Information: Confirm company contact details, capital structure, directors, and shareholder lists.
  4. Attach Required Documents: Attach mandatory supporting attachments (e.g., Shareholder/Director updates, Form 29/Form 3 if changes occurred, or audited accounts where applicable).
  5. Fee Payment & Digital Submission: Pay the statutory SECP fee online via 1Link/e-Payment and electronically submit the return.

Q3: Do we need to submit hard copies of Form-A to SECP?
